Acceptance of Terms

By accessing our website, registering your hotel, requesting a demo, or engaging with any GrowStays service β€” whether verbally, digitally, or through a signed agreement β€” you confirm that you:

  • Are at least 18 years of age and legally authorized to enter into this agreement
  • Represent a legitimate hospitality business or are acting on behalf of one
  • Have read and agree to be bound by these Terms & Conditions in full
  • Accept our Privacy Policy as incorporated herein by reference

Our Services

GrowStays provides a range of hotel revenue management and OTA optimization services. The specific scope of services will be detailed in your service agreement or onboarding documentation.

3.1 β€” Core Services
  • Hotel revenue management strategy and daily rate optimization
  • Competitor pricing analysis across all major OTA platforms
  • OTA channel management β€” Booking.com, Agoda, MakeMyTrip, Airbnb, and others
  • Occupancy and ADR (Average Daily Rate) improvement consulting
  • AI-powered pricing recommendations via the GrowStays RMS platform
3.2 β€” Free Hotel Analysis
  • GrowStays offers a complimentary hotel revenue analysis to registered properties
  • This analysis is provided at no cost and carries no obligation to subscribe
  • Findings are specific to your property and are shared confidentially
3.3 β€” Service Limitations
  • GrowStays does not guarantee specific revenue outcomes or occupancy targets
  • Recommendations are based on available data and industry best practices
  • Results may vary depending on market conditions, property type, and implementation
  • Services are subject to availability and may be modified with reasonable notice

Section 04
Client Obligations

To enable GrowStays to deliver services effectively, clients agree to the following responsibilities:

  • Provide accurate, complete, and up-to-date hotel information including room types, rates, and availability
  • Grant GrowStays authorized access to OTA portals and systems as required for service delivery
  • Appoint a designated point of contact who is available during agreed business hours
  • Respond to pricing recommendations and action items within a reasonable timeframe
  • Notify GrowStays promptly of any changes to property details, ownership, or business structure
  • Ensure all information shared with GrowStays is truthful and not misleading
  • Not use GrowStays services for any unlawful, deceptive, or unethical business practices

Section 05
Fees & Payment Terms

Service fees are outlined in your individual service agreement or proposal document provided by GrowStays. The following general terms apply to all paid engagements:

5.1 β€” Payment Terms
  • Fees are payable as per the schedule agreed in your service contract (monthly, quarterly, or annually)
  • All payments are to be made in Indian Rupees (INR) unless otherwise agreed in writing
  • Invoices are due within 15 days of the invoice date unless stated otherwise
  • GST and applicable taxes will be charged in addition to the base service fee
5.2 β€” Late Payments & Disputes
  • Late payments may attract an interest charge of 1.5% per month on the outstanding amount
  • GrowStays reserves the right to suspend services for accounts overdue by more than 30 days
  • Any billing disputes must be raised in writing within 7 days of receiving the invoice
5.3 β€” Refund Policy
  • Fees paid for services already rendered are non-refundable
  • Prepaid subscription fees may be partially refunded at GrowStays' sole discretion
  • The free hotel analysis service carries no fee and requires no refund processing

Confidentiality

Both GrowStays and its clients acknowledge that in the course of the service relationship, each party may have access to confidential business information, including but not limited to pricing strategies, revenue data, OTA login credentials, and proprietary business methods.

  • Both parties agree to keep all such information strictly confidential
  • Confidential information shall not be disclosed to any third party without prior written consent
  • GrowStays will never share your hotel's pricing strategy or revenue data with a competing hotel or property
  • OTA login credentials shared with GrowStays are stored securely and used solely for service delivery
  • Confidentiality obligations survive the termination of the service agreement for a period of 2 years

Intellectual Property

All content, tools, dashboards, methodologies, algorithms, reports, and processes developed or maintained by GrowStays are the exclusive intellectual property of GrowStays.

  • You may not copy, reproduce, distribute, or reverse-engineer any GrowStays tools, reports, or systems
  • Access to the GrowStays RMS platform is licensed, not sold β€” your access is non-transferable
  • Reports and analysis generated for your hotel are for your internal use only and may not be resold
  • The GrowStays name, logo, and brand elements are protected trademarks and may not be used without written permission
©️ Client-provided data (hotel details, room information, revenue figures) remains the property of the client at all times. GrowStays holds a limited license to use this data solely for service delivery.

Section 08
Limitation of Liability

GrowStays provides revenue management recommendations and advisory services. While we apply industry expertise and data-driven analysis, we cannot guarantee specific business outcomes.

8.1 β€” Disclaimer of Warranties
  • Services are provided on an "as-is" and "as-available" basis
  • GrowStays does not warrant that services will be uninterrupted or error-free
  • Revenue outcomes depend on market conditions, property factors, and client implementation β€” results may vary
8.2 β€” Liability Cap
  • GrowStays shall not be liable for indirect, incidental, or consequential damages
  • Our total liability to any client shall not exceed the total fees paid by that client in the preceding 3 months
  • GrowStays is not liable for losses arising from OTA policy changes, market volatility, or force majeure events

Termination

Either party may terminate the service relationship in accordance with the terms set out below.

  • Clients may terminate services by providing a minimum of 30 days' written notice to GrowStays
  • GrowStays may terminate services with 30 days' notice for any reason, or immediately in cases of a material breach
  • Upon termination, all outstanding fees become immediately payable
  • GrowStays will return or delete client data within 30 days of termination upon written request
  • Access to the GrowStays RMS platform will be revoked on the termination date

Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Jurisdiction
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India
  • Both parties agree to first attempt to resolve disputes amicably through direct communication
  • If direct resolution fails, disputes shall be escalated to arbitration under the Arbitration and Conciliation Act, 1996 of India

Changes to These Terms

  • Continued use of GrowStays services after the updated Terms take effect constitutes acceptance of the revised Terms
